EXTRAORDINARY PART III—Section 4 PUBLISHED BY AUTHORITY No. 846] NEW DELHI, THURSDAY , DECEMBER 21, 2023/ AGRAHAYANA 30, 1945 CG-MH-E-21122023-250805 SECURITIES AND EXCHANGE BOARD OF INDIA NOTIFICATION Mumbai , the 21st December , 2023 SECURITIES AND EXCHANGE BOARD OF INDIA (ISSUE OF CAPITAL AND DISCLOSURE REQUIREMENTS) (THIRD AMENDMENT) REGULATIONS, 2023 No. SEBI/LAD -NRO/GN/2023/162 .—In exercise of the powers conferred under se ction 30 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to further amend the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, namely: - 1. These regulations may be called the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) (Third Amendment) Regulations, 2023. 2. They shall come into force on the date of their publication in the Official Gazette. 3. In the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, - I. In regulation 292A, - a) in clause (f), the word “Auditor” appearing in the words and expression “Social Auditor” shall be substituted with the words “Impact Assessor”; b) in clause (g), - 1. the word “Audit” appearing in the words and expression “Social Audit Firm” shall be substituted with the words “Impact Assessment”; 2. the words “Auditors” shall be substituted with the words “Impact Ass essor(s)”. II. In regulation 292C, - a) the word “only” appearing after the word “accessible” shall be omitted; b) the word “and” appearing after the words “institutional investors” and before the words and symbol “non -institutional investors” shall be substituted by the symbol “,”; c) after the words “non -institutional investors” and before the symbol “:”, the words “and retail investors” shall be inserted; d) the symbol “:” shall be substituted with the symbol “.”; e) the proviso shall be omitted. III. in regulation 292G, in clause (a), in sub -clause (i), the words and symbol “institutional investors and/or non -institutional investors” shall be substituted with the words “eligible investors”; IV. the existing regulation 292K shall be substituted with the following regulation, namely - “292K. The procedure and other conditions in respect of public issuance of Zero Coupon Zero Principal Instruments by a Not for Profit Organization shall be as specified by the Board.”; V. the existing regulation 292M shall be substituted with the following regulation, namely - “292M. The contents of the fund raising document shall be as specified by the Board.”; VI. the existing regulation 292N shall be omitted.
